Our real estate practice group represents clients across a range of asset sectors: multi-family, industrial, senior living, office, construction/development, agribusiness, healthcare, retail, data centers, and hotel/hospitality. These clients turn to K&L Gates to help with asset management activities relating to the acquisition, operation, and disposition of these properties: whether directly operated or operated by a third party tenant, a given property may involve dozens of licenses, permits, commercial contracts, leases, and title encumbrances. We are looking for a commercial contracts attorney to support our real estate attorneys with ongoing asset management operations and transaction due diligence support. Tasks include the following: Review and revise various commercial contracts ancillary to real estate and agribusiness transactions and property management, including non-disclosure agreements/confidentiality agreements, lease termination and tenant notice letters, construction contracts, utility contracts, vendor service contracts, rooftop license agreements, access agreements (licenses, easements), property management agreements, and real estate brokerage/listing agreements for the sale or lease of real property. Review and assess commercial contracts in connection with due diligence review activities involving the purchase or lease of commercial or agricultural real estate assets; prepare abstracts or summaries of key terms in connection with review of commercial contracts; prepare assignment or termination notices and track same in connection with transaction closing conditions. Manage data rooms, prepare and update due diligence request lists, and track status of due diligence review of matters in data room by various practice specialists. Review property management and historical transaction documents for matters pertaining to real estate regulatory compliance, including review of historical operation and ownership information, tax and valuation history, and other asset management matters relating to the ownership or operation of multi-state real estate portfolios. Prepare license and permits in connection with the ownership or operation of real estate assets. Conduct due diligence review of existing license and permit records in connection with transaction compliance. Establish and maintain an efficient contract management system, ensuring accurate record keeping and contract tracking. Maintain and update a form library of legal precedent in connection with real estate commercial contract matters. Candidates must be critical thinkers, client-focused, and driven to find solutions. Exceptional judgment, outstanding attention to detail, excellent communication skills, and a commitment to providing the highest quality client service are essential. This flexible, non-partner track position could be based in our Seattle office, but the candidate may work remotely from any other states where K&L Gates has offices. Base Compensation Hourly Rate: $70.00/hr - $130.00/hr. The compensation salary for this position will be determined during the interview process and will vary based on multiple factors, including but not limited to prior experience, relevant expertise, current business needs, and market factors.
