The Corporate Legal Assistant will provide administrative and project management support for the legal department including, but not limited to, the preparation of corporate business filings, contract and template management, general management of timelines associated with projects assigned to the team. The Corporate Legal Assistant will support execution of projects in the US and several international regions. The Corporate Legal assistant will report to the Corporate General Counsel. Elective Vision, Long-Term Disability, Life Insurance, Flexible Spending Account for both medical and dependent care Paid Vacation and Sick Time Holidays Job Responsibilities The responsibilities for the Corporate Legal Assistant include, but are not limited to: Legal Department Adm inistr ation Assist with set up and management of corporate subsidiaries in the US and internationally, including drafting and maintenance of corporate entity organizational and governance documents, as well as coordination of approvals, signatures, notarization, and legalization of documents. Assist in managing and maintaining legal entity management system and conduct regular audits to ensure compliance and accuracy of corporate records. Work with outside counsel on various initiatives; manage these relationships to ensure adherence to deadlines as well as ensuring timely billing from outside law firms. Establish and maintain administrative systems for managing digital and paper legal records and contracts. Administrative Management of the legal department’s project list and calendar. Handle day-to-day administrative responsibilities of the corporate legal department. Project Management Focuses on planning and organizing projects, including RFP, timelines, resources, and budgets. Willingness to learn new areas and new software systems, which will require cross-border accessibility. Candidate Requirements: Prior experience in Corporate Legal Department preferred. Prior experience with contract review, contract management, and corporate governance. Prior experience in areas such as intellectual property, international transactions, insurance, and employment law preferred. College Degree preferred, but not required. Ability to work independently and self-govern multiple projects with competing priority and timelines to ensure compliance with filing requirements and deadlines. Keen eye for attention to detail to ensure accuracy and consistency, especially in drafting and reviewing document templates and contracts. Excellent time management skills. Strong organizational, problem-solving, and analytical skills. Strong interpersonal skills. Strong work-ethic with a commitment to excellence and high standards of work product. Excellent verbal and written communication skills. Excellent grammatical and spelling skills. Applicants must be proficient in Microsoft Office, specifically Outlook, Word, Excel, and PowerPoint. An understanding of Microsoft OneDrive, SharePoint, and Teams is a plus. Registered Notaries preferred.
